Frédéric Baillet Bouin, graduated from the University of Paris II (Panthéon-Assas) and Cornell Law School (New York) and, was admitted to the Paris Bar in 1998 and to the New York Bar in 2001.

Practicing for nine years first at Gide Loyrette Nouel and then at Cleary Gottlieb Steen & Hamilton LLP, in New York and Paris, Frédéric Baillet Bouin has acquired wide experience in both civil and commercial litigation, cases that often required the follow-up of procedures pending before foreign courts.

The Firm assists and advises managers of companies each time their liability, either civil or criminal, is sought by a shareholder or a third party. The claim may be based on a derivative action lodged on behalf of the company by a shareholder (action sociale ut singuli) or may consist of a claim for personal damages sought by a creditor.

The Firm also assists companies facing dishonest suppliers or clients. The Firm may then initiate any type of legal recourse (judicial expertise, summary proceedings, freezing orders)

The Firm is also able to assist its clients with respect to [the liquidation of estates of shareholders of companies whose by-laws require the sale of the shares to the surviving shareholders or to third parties in compliance with approval or preemption provisions.

The Firm advises its clients during the amicable or judicial financial expertise procedures devoted to the valuation of the shares in view of their mandatory or amicable sale. The Firm’s clients thereby benefit from our expertise in both business law and trust and estate laws.

More generally, in coordination with a French notaire, the Firm provides its clients with any assistance necessary to protect their rights at the time of the preparation and the liquidation of an estate (such as judicial sharing out, claim for inheritance receiving, claim for reduction of gifts, and claim for nullity of will).
The Firm handles domestic estates as well as international estates which may require the application of the rules of conflicts of laws.
